On August 10, 2023, the Company:

• received 2,848,721,125 GEMS Shares, which have been distributed by GEAR through (i) distribution of stock dividends (dividend in specie) in the form of GEMS Share; and (ii) reduction of GEAR’s capital by means of return of capital by GEAR in the form of distribution of GEMS Shares; and
• transferred all GEAR Shares owned by the Company to Duchess.

Through these transactions, the Company directly owns 48.43% of GEMS Shares and no longer owns GEAR Shares.

The Company will provide another information disclosure in the event that the plan to purchase GEMS Shares from the Cash Entitled Shareholders has been completed.
