On August 10, 2023, the Company:

• received 2,848,721,125 GEMS Shares, which have been distributed by GEAR through (i) distribution of stock dividends (dividend in specie) in the form of GEMS Share; and (ii) reduction of GEAR’s capital by means of return of capital by GEAR in the form of distribution of GEMS Shares; and
• transferred all GEAR Shares owned by the Company to Duchess.

On June 26, 2023, the Company, EMU, and Smartel signed Amendment I of Guarantee Compensation Agreement to participate in underwriting the shares again, which were originally guaranteed to CDB to be guaranteed to Syndicated Creditors. For the Guarantee of Shares to the Syndicated Creditors, the Company and EMU receive compensation in the form of Guarantee Compensation.
